IMPORTANT BULLION TRANSACTION TERMS
- Precious-metal prices can move rapidly. A confirmed market-priced order is binding.
- Bullion and other market-sensitive precious-metal sales are final except as expressly stated in these Terms or required by law.
- Failure to complete a confirmed order may result in market-loss liability plus a $95 administrative fee.
- JUYOU Finds may verify identity/payment, delay or cancel suspicious orders, and select shipping, insurance, and signature requirements based on risk.
PLEASE READ THESE TERMS CAREFULLY. They apply to purchases from JUYOU Finds LLC, sales to JUYOU Finds LLC, website use, telephone orders, and in-person transactions. By using the Website, creating an account, clicking to accept these Terms, placing an order, or otherwise completing a transaction with JUYOU Finds, you agree to be bound by these Terms.
1. Scope and Acceptance
These Terms of Use and Conditions of Sale (“Terms”) are a legally binding agreement between JuYou Finds LLC (“JUYOU Finds,” “JUYOU,” “we,” “us,” or “our”) and the person or entity using our website or transacting with us (“you” or “your”). They govern www.juyoufinds.com, any JUYOU-hosted or JUYOU-branded online storefront, and purchases or sales made through the Website, by telephone, by invoice, or in person (collectively, the “Services”).
If you place an order for an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Services or place an order.
2. Eligibility and Customer Accounts
You must be at least 18 years old and legally capable of entering into a binding contract to transact with JUYOU Finds. You are responsible for providing accurate, current, and complete information and for safeguarding your account credentials. You are responsible for activity occurring through your account to the extent caused by your acts, omissions, or failure to protect your credentials.
Notify us promptly if you suspect unauthorized access to your account. We may suspend or restrict an account when reasonably necessary to protect the customer, JUYOU Finds, our service providers, or others.
3. Products, Descriptions, Images, and Availability
We make reasonable efforts to accurately describe products, including weight, metal, fineness, denomination, mint, grade, packaging, and other characteristics when applicable. Product photographs may be representative rather than images of the exact item you will receive unless the listing states otherwise. Colors, toning, luster, packaging, serial numbers, and minor manufacturing characteristics may vary.
Inventory and availability are subject to change. We may limit quantities, allocate inventory, discontinue products, or decline an order when inventory is unavailable, a listing is incorrect, a transaction presents elevated risk, or another legitimate business or legal reason applies.
Third-party grading, certification, or authentication opinions are those of the applicable third party. JUYOU Finds does not guarantee that an item will receive the same grade, designation, or value if later submitted or resubmitted to a grading or authentication service.
4. Pricing, Spot Prices, and Pricing Errors
Precious-metal and market-sensitive product prices may change at any time before an order is confirmed. Displayed spot prices, charts, market data, premiums, buy prices, and other market information may be delayed, supplied by third parties, or subject to temporary technical errors.
A price is not guaranteed merely because it appeared on the Website. The price applicable to a purchase becomes locked when JUYOU Finds issues an order confirmation or order number showing the confirmed price, subject to fraud review, payment completion, inventory verification, and our right to correct obvious pricing, typographical, data-feed, or system errors.
JUYOU Finds may cancel or correct an order affected by an obvious pricing or system error, even after an automated confirmation, and will refund amounts actually collected for any portion of the order we cancel, except that a customer-caused cancellation of an otherwise valid confirmed market-priced order remains subject to the Market Loss Policy below.
5. Orders and Order Acceptance
Submitting an order is an offer to purchase. A confirmed order creates a binding transaction at the confirmed price, subject to these Terms. We may require additional verification before accepting, processing, or shipping an order.
We reserve the right to refuse, cancel, delay, limit, or place conditions on an order when reasonably necessary because of suspected fraud, payment risk, sanctions or legal compliance, inventory issues, pricing or technical errors, unusual market conditions, carrier or insurance restrictions, or other legitimate business reasons. If JUYOU cancels an order for reasons not caused by your breach, any collected purchase funds for the canceled portion will be returned, subject to normal banking or processor timing.
6. Payment Methods and Payment Timing
Available payment methods may include credit card, debit card, ACH, bank wire, personal check, certified or cashier’s check, money order, cash for approved in-person transactions, and other methods displayed or approved by JUYOU Finds. We may change, restrict, or condition available payment methods based on order value, customer history, fraud risk, product type, or other risk factors.
Payment deadlines shown at checkout, on an invoice, or in payment instructions are part of the transaction. Unless JUYOU provides different written instructions, bank-wire payments and payments for in-person pickup should be initiated within one business day after order confirmation. If a paper check, cashier’s check, or money order is accepted for a shipped order, it should be postmarked within one business day and received within five business days.
We may hold check or similar payments until funds have cleared and may extend the hold when fraud, reversal, or collectability concerns exist. JUYOU may impose reasonable cash-payment limits and may require identification or other information to satisfy applicable legal, tax, banking, or reporting obligations.
By using a card or electronic payment method, you authorize the applicable payment processor and financial institutions to authorize and capture the amount due. Payment information is handled in accordance with our Privacy Policy and the practices of the applicable payment providers.
7. Fraud Prevention, Identity Verification, and Compliance Review
To protect customers and JUYOU Finds, we may perform fraud and compliance reviews before or after accepting an order. Depending on the circumstances, we may request identity verification, proof of billing or shipping address, payment verification, telephone confirmation, bank verification, signature confirmation, or other information reasonably necessary to verify the transaction.
If we reasonably suspect fraud, unauthorized payment, identity misuse, theft, money laundering, sanctions issues, or other unlawful activity, we may delay, cancel, refuse to ship, intercept or recall a shipment when reasonably possible, restrict the account, preserve transaction records, and cooperate with payment providers, carriers, insurers, financial institutions, or law-enforcement authorities as permitted or required by law.
8. Confirmed Orders, Cancellation, and Offsetting
Because precious-metal prices fluctuate, confirmed market-priced orders generally cannot be canceled simply because the market moved, you changed your mind, or you found a different price elsewhere.
Before shipment, JUYOU may, in its sole discretion, permit a customer to offset a confirmed order rather than complete it. If permitted, the offset will be calculated using JUYOU’s then-current buy price or other commercially reasonable market price for the product at the time the offset is accepted. Any resulting market loss and applicable administrative fee remain due. Market gains resulting from a customer-requested cancellation or offset do not create a payment obligation from JUYOU to the customer.
After an order has shipped, it cannot be canceled. Refusing delivery does not cancel the transaction and may result in reshipping charges, market-loss liability, administrative fees, and other amounts permitted by these Terms or applicable law.
9. Market Loss Policy
When JUYOU confirms a market-priced precious-metal order, JUYOU relies on that commitment and may hedge, replace, allocate, or otherwise commit inventory at prevailing market prices. If you fail to timely pay for or complete a confirmed order, or JUYOU permits you to cancel or offset it, you agree to pay JUYOU any Market Loss plus a $95 administrative fee, to the extent permitted by law.
”Market Loss” means the positive difference, if any, between the confirmed purchase price and JUYOU’s commercially reasonable buy or replacement price for the same or substantially similar product at the time the order is canceled, offset, or treated as defaulted. If the market movement would produce a gain rather than a loss, that gain will not be credited to the customer.
Amounts due under this section may be invoiced and collected using lawful collection methods. Future orders may be refused until outstanding amounts are paid. This policy does not apply when JUYOU cancels an order solely because of JUYOU’s own inventory, pricing, or fulfillment error and the customer is not otherwise in breach.
10. Returns, Exchanges, and Final Sales
ALL SALES OF BULLION AND OTHER MARKET-SENSITIVE PRECIOUS-METAL PRODUCTS ARE FINAL, except where an exchange, refund, or other remedy is expressly approved by JUYOU or required by applicable law. Changes in spot price, market value, buyer preference, or investment outlook are not grounds for return.
If you believe you received the wrong item, an item materially different from its description, or an item with a material defect not disclosed before purchase, contact JUYOU promptly. JUYOU may, but is not obligated to, approve an exchange for an identical or substantially similar item when available. Unless a different period is stated on the product page, requests concerning an alleged material defect should be made within 14 calendar days after delivery.
Normal minting characteristics, minor packaging wear, assay-card or capsule scuffs, toning, spotting, milk spots, patina, contact marks consistent with the stated condition, and variations inherent in mass-produced bullion are not necessarily material defects. Removing an item from sealed mint, assay, tamper-evident, or certified packaging may make an exchange unavailable unless the issue could not reasonably have been identified without opening the packaging.
Non-bullion merchandise may be subject to a separate return or warranty policy shown on the product page. Manufacturer warranties, when applicable, are provided by the manufacturer and are subject to the manufacturer’s terms.
11. Shipping, Insurance, and Delivery
Shipping methods, carriers, service levels, packaging, insurance or risk protection, and signature requirements are selected by JUYOU based on order value, product type, destination, carrier availability, insurer requirements, and risk considerations. We may use USPS, UPS, FedEx, or other established carriers.
Any shipping time shown on the Website or order confirmation is an estimate unless expressly stated as a guaranteed delivery date. We will use commercially reasonable efforts to ship within the stated timeframe and will provide delay options or refunds when required by applicable law.
JUYOU ordinarily uses tracking and may require an adult or other signature for higher-value shipments. Do not instruct a carrier to waive a required signature, leave a high-value shipment unattended, redirect it to an unapproved location, or deliver it to a third party. If you independently authorize such a release, redirection, alternate delivery, or third-party receipt, you assume the additional risk created by those instructions to the fullest extent permitted by law.
For a shipment that is lost or materially damaged before completed delivery, JUYOU will determine whether to reship, replace, or refund after reasonable carrier and insurance investigation. Claims may require customer cooperation, statements, photographs, police reports, carrier documentation, or other information reasonably requested by the carrier or insurer.
Our responsibility for loss in transit generally ends when tracking or other reliable carrier evidence shows completed delivery to the shipping address or other delivery location authorized by the customer, subject to applicable law and any express insurance terms. Report missing, damaged, tampered, or misdelivered packages to JUYOU as soon as possible and preferably within two business days after the recorded delivery date.
12. Shipping Addresses and Customer Instructions
You are responsible for providing a complete and accurate delivery address. We may restrict shipping to verified billing addresses, addresses approved by a payment provider, or other addresses meeting our fraud and insurance requirements. Address changes after payment may require additional verification and may not be permitted.
JUYOU is not responsible for delays or additional costs caused by an incorrect address supplied by the customer, an unavailable recipient, customer-requested carrier changes, or other customer instructions, except to the extent required by law.
13. Local Pickup
Local pickup is available only when offered and confirmed by JUYOU. Pickup may require an appointment, valid government-issued identification, order confirmation, and verification that the person collecting the order is the purchaser or an authorized recipient. We may require the payment name, identification, and pickup name to match or may request additional authorization.
Responsibility for the merchandise transfers to the customer when the order is physically delivered to and accepted by the customer or authorized recipient at pickup, subject to applicable law.
14. Selling Precious Metals or Other Products to JUYOU Finds
When JUYOU agrees to purchase an item from you, the quoted or confirmed buy price is binding only under the conditions stated in the quote, invoice, or transaction confirmation. Unless different written instructions are provided, items subject to a locked buy price should be shipped or tendered to JUYOU within one business day and received within five business days.
You represent and warrant that you are the lawful owner of the items, have full authority to sell them, and that the items are authentic and accurately described. JUYOU may inspect, weigh, test, authenticate, or otherwise verify items before final settlement. Items that are counterfeit, altered, materially misdescribed, damaged beyond the stated condition, or otherwise fail verification may be rejected, repriced with your approval, returned at your expense, or handled as required by law.
If you fail to timely deliver items subject to a locked buy transaction, you may be responsible for JUYOU’s resulting market loss and a $95 administrative fee, calculated in a commercially reasonable manner, to the extent permitted by law. Carrier delays may be considered in JUYOU’s discretion when you timely shipped and provided valid tracking.
15. Taxes and Exemptions
You are responsible for sales, use, excise, and other taxes applicable to your transaction unless JUYOU is required to collect and remit them. Tax calculations may depend on product type, transaction amount, destination, and applicable law. Customers claiming a resale or other exemption must provide valid documentation acceptable to JUYOU before the transaction is treated as exempt.
16. Chargebacks, Payment Disputes, and Collections
If you believe a charge is incorrect, contact JUYOU promptly so we can investigate. Initiating a payment dispute or chargeback does not eliminate payment obligations for merchandise properly ordered, delivered, or otherwise owed under these Terms. JUYOU may provide transaction, delivery, verification, and communications records to payment networks, processors, banks, insurers, or other parties handling the dispute.
Nothing in these Terms limits any non-waivable rights you may have under applicable law or card-network rules. If an amount remains legally due after a payment reversal, chargeback, returned check, or other payment failure, JUYOU may suspend future transactions and pursue lawful collection remedies.
17. Investment, Market, and Tax Disclaimer
Precious metals, coins, currency, collectibles, and related products can fluctuate significantly in value and may not be suitable for every purchaser. JUYOU Finds is a dealer and retailer, not your investment adviser, broker, fiduciary, tax adviser, or legal adviser. Information on our Website, including market commentary, news, charts, historical prices, product descriptions, and opinions, is provided for general informational or commercial purposes and is not personalized investment, financial, tax, or legal advice.
JUYOU does not guarantee future value, appreciation, liquidity, grading results, resale value, tax treatment, or investment performance. You are responsible for evaluating your own financial circumstances and obtaining professional advice when appropriate.
18. Website Content and Third-Party Information
We may display or link to market data, news, articles, charts, videos, third-party websites, or other information supplied by third parties. JUYOU does not control and is not responsible for the accuracy, availability, security, content, or privacy practices of third-party resources. A link or reference does not necessarily constitute endorsement.
19. Intellectual Property
The Website and its original text, graphics, logos, photographs, layout, software elements, and other content owned by JUYOU are protected by applicable intellectual-property laws. Subject to these Terms, JUYOU grants you a limited, revocable, non-exclusive, non-transferable right to use the Website for personal or legitimate business purchasing purposes.
You may not copy, scrape, reproduce, republish, sell, reverse engineer, interfere with, or commercially exploit the Website or JUYOU-owned content except with our written permission or as otherwise permitted by law. Third-party trademarks and content remain the property of their respective owners.
20. Prohibited Use
You may not use the Services to engage in unlawful, fraudulent, abusive, or harmful activity; attempt unauthorized access; impersonate another person; submit false information; interfere with Website security or operation; introduce malicious code; scrape or harvest data in a manner that materially burdens the Services; infringe intellectual-property or privacy rights; evade transaction limits or verification controls; or assist another person in doing any of the foregoing.
21. Export Controls, Sanctions, and Restricted Transactions
Products and transactions may be subject to United States export-control, trade-sanctions, anti-money-laundering, financial-crime, and other applicable laws. JUYOU may refuse, cancel, delay, restrict, or report a transaction when reasonably necessary to comply with applicable law, sanctions programs, restricted-party requirements, requests from financial institutions or payment providers, or lawful government requirements. You agree not to use the Services in violation of applicable export controls or economic sanctions.
22. Privacy and Data Security
Our Privacy Policy describes how we collect, use, disclose, and protect personal information and is incorporated into these Terms by reference. Payment information may be processed by third-party payment processors and financial institutions under their own terms and privacy practices.
We use reasonable safeguards designed to protect the Services and customer information, but no Internet transmission, electronic storage system, software platform, payment system, or third-party service can be guaranteed to be completely secure or continuously available. You are responsible for protecting your own account credentials, devices, and networks.
23. Electronic Communications and Records
You consent to receive order confirmations, invoices, receipts, disclosures, notices, and other transaction records electronically at the email address or other electronic contact information you provide. Electronic acceptance, click-through acceptance, and electronic records may be used to evidence your agreement and transactions to the extent permitted by law.
24. Website Availability and Third-Party Services
The Services depend on Internet connectivity, hosting, point-of-sale software, payment processors, banks, carriers, market-data providers, and other third parties. We do not guarantee uninterrupted or error-free operation. We may suspend access for maintenance, security, legal compliance, service-provider outages, or other operational reasons.
25. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT FOR EXPRESS WARRANTIES STATED IN THESE TERMS, ON A PRODUCT PAGE, OR PROVIDED BY A MANUFACTURER OR THIRD-PARTY CERTIFIER, JUYOU DISCLAIMS IMPLIED WARRANTIES TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Nothing in these Terms excludes or limits a warranty, remedy, or consumer right that cannot lawfully be excluded or limited.
26. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JUYOU FINDS AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS; LOST OPPORTUNITY; LOSS OF GOODWILL; OR MARKET LOSSES ARISING FROM WEBSITE USE, MARKET MOVEMENTS, THIRD-PARTY SERVICE FAILURES, OR A CUSTOMER’S FAILURE TO COMPLETE A TRANSACTION, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE LIMITED.
TO THE FULLEST EXTENT PERMITTED BY LAW, JUYOU’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR ORDER OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO JUYOU FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT THE PARTIES TO LIMIT OR EXCLUDE.
27. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless JUYOU Finds and its members, managers, employees, and agents from third-party claims, losses, liabilities, damages, and reasonable costs arising from your unlawful misuse of the Services, your violation of these Terms, your infringement of another person’s rights, or materially false representations you make in connection with a transaction. This provision does not require you to indemnify JUYOU for JUYOU’s own conduct to the extent such indemnification is prohibited by law.
28. Force Majeure
JUYOU will not be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, earthquake, war, terrorism, civil disturbance, labor disruption, government action, sanctions changes, epidemic or pandemic conditions, carrier interruption, utility or telecommunications failure, cyberattack, payment-network disruption, supplier or mint interruption, or widespread market or infrastructure events. This section does not excuse obligations that applicable law does not permit us to excuse.
29. Suspension and Termination
JUYOU may suspend or terminate Website access, an account, or future transaction privileges if you materially violate these Terms, engage in suspected fraud or unlawful activity, fail to pay amounts legally due, abuse our personnel or systems, or create unreasonable security or compliance risk. Termination does not eliminate rights or obligations arising from transactions completed or confirmed before termination.
30. Governing Law and Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT, HAVE A JURY TRIAL, OR PARTICIPATE IN A CLASS ACTION.
Informal Resolution First. Before filing arbitration or litigation (other than a qualifying small-claims matter or emergency request for injunctive relief), the complaining party must send the other party a written Notice of Dispute describing the claim and requested relief and allow at least 30 days for a good-faith effort to resolve it. Notices to JUYOU may be sent to the contact information at the end of these Terms.
Individual Arbitration. Except for claims eligible for small-claims court and claims seeking temporary or preliminary injunctive relief to protect intellectual property, confidential information, or prevent immediate unlawful conduct, disputes arising out of or relating to these Terms, the Website, or a transaction with JUYOU will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitration may be conducted by documents, telephone, videoconference, or in person as provided by the AAA Consumer Arbitration Rules and applicable law. Consumer fees and business fees will be allocated as required by those rules and applicable law. The arbitrator may award the same individual remedies that a court could award, subject to these Terms and applicable law.
Small Claims. Either party may bring an individual claim in a court of competent jurisdiction that qualifies as a small-claims matter instead of arbitration.
Class and Representative Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF DIFFERENT PERSONS UNLESS ALL AFFECTED PARTIES AGREE OR APPLICABLE LAW REQUIRES OTHERWISE.
Arbitration Opt-Out. You may opt out of this arbitration agreement by sending JUYOU written notice within 30 days after the first date you accept these Terms. The notice must include your full name, mailing address, email address associated with your account or transaction, and a clear statement that you are opting out of arbitration. Opting out of arbitration does not opt you out of the remainder of these Terms.
For disputes not subject to arbitration, the Terms are governed by California law, without regard to conflict-of-law rules, except where another jurisdiction’s non-waivable consumer law applies. Subject to applicable law, exclusive venue for non-arbitrable disputes will lie in the state or federal courts serving San Mateo County, California, except that qualifying small-claims cases may be filed where permitted by law.
31. Changes to These Terms
We may revise these Terms from time to time. Updated Terms become effective when posted or on the later effective date stated in the updated Terms. Changes apply prospectively and do not retroactively change the economic terms of an already confirmed order unless required by law or mutually agreed. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms for subsequent use and transactions.
32. No Waiver; Assignment; Severability
A delay or failure by either party to enforce a provision does not waive that provision or any other right. You may not assign your rights or obligations under these Terms without JUYOU’s prior written consent. JUYOU may assign these Terms in connection with a merger, reorganization, sale of substantially all relevant assets, or transfer of the business, subject to applicable law.
If any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. If any portion of the arbitration or class-waiver provisions is found unenforceable, the effect of that ruling will be determined under applicable arbitration law and the AAA rules.
33. Entire Agreement and Order of Priority
These Terms, our Privacy Policy, any product-specific terms, and the terms shown in an applicable order confirmation, invoice, quote, or written transaction instruction constitute the agreement governing the transaction. If there is a direct conflict, a specifically negotiated written term or product/order-specific term controls over these general Terms for that transaction, followed by these Terms, then the Privacy Policy with respect to privacy matters.
